Terms of Service Web Development

Introduction

Thank you for choosing Get A Copywriter, Inc. (“Epiic,” “epiic.com,” “Company,” “we,” “us,” or “our”) for your website development and related services. We strive to deliver high-quality solutions that meet your needs. These Terms of Service Web Development (“TOS”) govern your (“Client” or “you”) engagement with us and outline the conditions under which we provide our services.

By placing a prepaid order, checking the acceptance box, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by this TOS. If you do not agree with any part of this TOS, you must not use or purchase our services.

  1. Scope of Services

1.1 Website Development & Related Services

We offer website development services, which may include (1) design, (2) copywriting, (3) content creation, (4) SEO, (5) coding, (6) ongoing support, and other related tasks as agreed upon with the Client. All services are billed on a time-and-materials basis.

1.2 Project Flow & Milestones

Our standard workflow typically involves:

  • Discovery and planning
  • Design and/or content creation
  • Development and coding
  • Revisions and finalization
  • Launch and post-launch support (if applicable)

We deliver work in stages or milestones, which you may approve at each step. Once approved, the project will move to the next stage.

1.3 Client Responsibilities

  • Provision of Assets: You are responsible for providing timely and accurate materials (e.g., text, images, branding guidelines) unless otherwise agreed.
  • Approvals: You agree to review deliverables promptly and provide feedback or approval within the requested timeframe. Delays in approvals may lead to changes in the project schedule and estimated costs.
  1. Estimates & Time-and-Materials

2.1 Rates

All services are provided at the rate confirmed by us when we provided the estimate. This rate is generally determined by the scope of services, complexity, and other relevant factors.

2.2 Estimates

We may provide good-faith estimates for the total hours and costs of a project. These estimates are not binding and can change based on:

  • Changes in scope
  • Complexity discovered during the project
  • Additional requests or revisions

You will be notified if it appears the estimated scope or cost will be exceeded.

  1. Payment Terms

3.1 Prepayment & Billing

  • You agree to prepay an amount to fund your project. We will draw down against these prepaid funds as we log billable hours or incur material costs.
  • If your prepaid balance is depleted, we will notify you and request an additional prepayment before continuing work.

3.2 No Refund Policy; Credit Rollover

  • No Refunds: All amounts paid to us are strictly non-refundable.
  • Credit Rollover: Any unused prepaid balance does not expire. If your project is delayed, postponed, or canceled, you may apply the remaining balance to other services offered by the Company, subject to availability and our then-current rates.

3.3 Late Payment & Suspension of Work

  • If, for any reason, you do not maintain a sufficient prepaid balance, we reserve the right to suspend work until the account is funded.
  1. Revisions & Change Requests

4.1 Unlimited Revisions

We do not cap the number of revisions you may request. However, all revisions are billable at our hourly rate. The total cost will be deducted from your prepaid balance.

4.2 Scope Creep

Any requests outside the agreed-upon scope or significant changes to previously approved work may require additional estimates, timelines, or adjustments to the project scope.

  1. Ownership & Intellectual Property

5.1 Ownership Transfer

Ownership of the website deliverables (including code, content, and design) transfers to you for any portion that has been fully paid for and approved by you, even if it is not the entire final project. You are entitled to use, modify, and distribute any portions of the work that you have purchased and approved.

5.2 Third-Party Tools & Licenses

  • We may use third-party plugins, libraries, or software. Such components are subject to their respective licenses, and you agree to abide by those license terms.
  • We are not responsible for third-party licensing fees unless explicitly agreed otherwise in writing.
  1. Disclaimers & Warranties

6.1 No Performance Guarantee

We endeavor to meet or exceed professional standards; however, given the nature of factors outside of our control, we are unable to guarantee any specific performance results, such as search engine rankings, website traffic, or conversions.

6.2 Future Compatibility

While we strive to ensure the website is compatible with major browsers and devices as of project completion, we do not warrant future compatibility or functionality updates unless separately contracted for ongoing maintenance.

6.3 As-Is Basis

All services and deliverables are provided “as is” without warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

  1. Confidentiality

We typically do not handle sensitive or confidential data. If, however, you provide any confidential information, we will take commercially reasonable steps to keep it confidential. You acknowledge that we do not sign separate Non-Disclosure Agreements (NDAs) unless specifically agreed upon in writing.

  1. Limitation of Liability & Indemnification

8.1 Limitation of Liability

To the fullest extent permitted by law, in no event shall the Company, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of use, arising out of or relating to this TOS or the services provided.

Our maximum aggregate liability arising from or related to this TOS or the services provided shall not exceed the total amount of fees actually paid by you to us within the six (6) months prior to the event giving rise to liability.

8.2 Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • (a) Your breach of this TOS;
  • (b) Your use of any deliverables in violation of any applicable law, regulation, or third-party right;
  • (c) Content or materials you provide to us for inclusion on the website or other marketing assets.
  1. Termination

9.1 Termination by Either Party

Either party may terminate this TOS for cause if the other party materially breaches any term and fails to cure such breach within thirty (30) days of receiving written notice.

9.2 Effect of Termination

Any completed or partially completed work that has been fully paid for and approved by you is transferred to you upon termination.

  1. Dispute Resolution & Governing Law

10.1 Dispute Resolution

If a dispute arises, we encourage both parties to seek an amicable resolution through good-faith negotiations. If such efforts fail, you agree that binding arbitration, mediation, or litigation may be used, whichever we determine to be most protective of our interests, to the extent permitted by applicable law.

10.2 Governing Law & Jurisdiction

This TOS shall be governed by and construed in accordance with the laws of the State of Delaware, U.S.A., without regard to its conflict of law provisions. Any dispute arising under or in connection with this TOS shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware.

  1. Marketing & Portfolio Use

Unless otherwise agreed in writing, you grant us permission to display or link to your completed project (or parts of it) in our portfolio, website, social media channels, and other marketing materials. We may also quote or paraphrase your feedback, reviews, or testimonials, with or without attribution to you, unless you provide a written request to abstain.

  1. Privacy Policy

Please refer to our Privacy Policy for information on how we collect, use, and disclose personal data. By using our services, you agree to the terms outlined therein.

  1. Subcontracting

We may engage subcontractors or freelance specialists to perform certain tasks. We remain responsible for the quality of their work, and they shall be bound by obligations of confidentiality.

  1. Acceptance & Electronic Signatures

14.1 Acceptance

By checking the acceptance box during our checkout process or otherwise indicating consent, you represent that you have read, understood, and agree to be bound by this TOS.

14.2 Modifications

We reserve the right, at our sole discretion, to update or modify this TOS at any time without prior notice. The most current version of the TOS will always be posted on our website. Your continued use of our services after changes become effective constitutes acceptance of the revised TOS.

  1. Miscellaneous

15.1 Entire Agreement

This TOS constitutes the entire agreement between you and the Company regarding the services described herein and supersedes all prior or contemporaneous agreements, understandings, or communications.

15.2 Severability

If any provision of this TOS is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 No Waiver

Failure by the Company to enforce any right or provision in this TOS does not constitute a waiver of such right or provision.

15.4 International Use

We provide services globally, but these Terms are governed by U.S. laws (Delaware). We provide this TOS only in English. You are responsible for compliance with local laws in your jurisdiction.
